Terms of Service
Our services are intended to help you organize, understand, and operationalize your financial data. All financial decisions remain solely your responsibility. You should consult licensed professionals (CPAs, attorneys, financial advisors) for legal, tax, audit, and regulated financial matters.
The specific scope of services provided to you is governed by your signed engagement agreement or service contract with CNSVCS. These Terms supplement — and do not replace — that agreement.
Access to the CNSVCS client portal is granted solely to authorized clients under an active engagement. You agree to:
- Keep your login credentials strictly confidential and not share them with any third party
- Notify us immediately at contact if you suspect unauthorized access to your account
- Use the Portal only for legitimate business purposes related to your engagement with CNSVCS
- Not attempt to access other clients' data, reverse-engineer the Portal, or circumvent security controls
- Not use automated scripts, bots, or scrapers on the Portal
You are responsible for all activity that occurs under your account credentials. CNSVCS reserves the right to suspend or terminate access immediately if we detect unauthorized use, suspicious activity, or breach of these Terms.
The Portal includes an AI-powered CFO Assistant powered by Groq's large language model API. By using this feature, you acknowledge and agree:
- AI responses are informational only and are generated by an automated system — they are not reviewed by a CNSVCS advisor before delivery
- AI responses do not constitute professional financial, tax, legal, or investment advice
- The AI may make errors, omissions, or generate inaccurate information, even when referencing your actual financial data
- You should verify any AI-generated figures or recommendations with a qualified professional before acting on them
- Your financial data is transmitted to Groq's API to generate responses; see our Privacy Policy for details
- CNSVCS is not liable for any decisions made in reliance on AI-generated content
CNSVCS reserves the right to modify, suspend, or discontinue the AI feature at any time without notice.
You agree to fulfill the following responsibilities throughout your engagement:
- Accurate information: Provide accurate, complete, and up-to-date financial information. CNSVCS's work product is only as reliable as the data you supply.
- Timely cooperation: Respond to requests for information, document requests, and advisor questions in a timely manner
- QuickBooks access: Maintain valid QuickBooks credentials and authorization for the duration of your engagement if QB integration is part of your service
- Compliance: Ensure your use of our services complies with all applicable laws and regulations governing your business
- No unlawful use: Not use the Portal or our services to facilitate any illegal activity, including financial fraud, money laundering, or tax evasion
Service fees are set forth in your engagement agreement. The following general terms apply:
- Fees are due and payable per the schedule in your agreement. Invoices not paid within 30 days of the due date may accrue a late fee of 1.5% per month
- CNSVCS reserves the right to suspend Portal access and service delivery if invoices remain outstanding beyond 45 days
- All fees are non-refundable unless otherwise specified in your engagement agreement
- CNSVCS may adjust its fee schedule upon 30 days' written notice at each engagement renewal
Both parties agree to maintain strict confidentiality of the other's non-public business information:
- CNSVCS will not disclose your financial data, business information, or strategic plans to any third party except as required to deliver your services (e.g., our infrastructure providers) or as required by law
- You agree not to disclose CNSVCS's proprietary methodologies, systems, pricing structures, or internal processes
- Confidentiality obligations survive termination of your engagement for a period of 3 years
- These obligations do not apply to information that becomes publicly available through no fault of the receiving party, or that is required to be disclosed by law or court order
Financial reports, dashboards, and analyses prepared specifically for you under your engagement ("Deliverables") are yours to use for your internal business purposes upon full payment of applicable fees.
CNSVCS retains all ownership of its proprietary methodologies, templates, processes, software, and systems — including the Portal itself — regardless of their use in delivering your services. You receive a limited, non-transferable license to access and use the Portal solely for the purpose of receiving services under your engagement.
You may not copy, reproduce, resell, or sublicense CNSVCS's proprietary materials without prior written consent.
Financial data displayed in the Portal is sourced from QuickBooks and may not reflect real-time account balances. Always verify critical financial decisions against your primary accounting records.
IN NO EVENT SHALL CNSVCS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR FINANCIAL LOSSES ARISING FROM YOUR RELIANCE ON OUR SERVICES — EVEN IF CNSVCS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
You agree to indemnify, defend, and hold harmless CNSVCS and its owners, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your violation of these Terms
- Your provision of inaccurate, incomplete, or fraudulent financial information
- Your violation of any applicable law or regulation
- Any third-party claims arising from your use of our services or deliverables
Your access to the Portal continues for the duration of your active engagement with CNSVCS. Either party may terminate an engagement per the terms set forth in your engagement agreement.
CNSVCS may suspend or terminate your Portal access immediately and without notice if you:
- Breach any provision of these Terms
- Fail to pay outstanding invoices after 45 days
- Use the Portal for any unlawful purpose
- Engage in conduct that poses a security risk to the Portal or other clients
Upon termination, your Portal access will be revoked. Your data will be retained for 90 days, during which you may request an export. After 90 days, your data will be permanently deleted unless retention is required by law.
Sections 6 (Confidentiality), 7 (Intellectual Property), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), and 13 (Governing Law) survive termination.
You agree not to use the Portal or our services to:
- Transmit false or misleading financial information
- Attempt to gain unauthorized access to any system, account, or data
- Introduce malware, viruses, or malicious code
- Conduct any form of automated data collection (scraping, crawling) on the Portal
- Harass, threaten, or abuse CNSVCS staff or other parties
- Violate any applicable federal, state, or local law or regulation
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.
Any dispute arising from these Terms or your use of our services shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in New York County, New York, under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.
You agree that any claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
CNSVCS reserves the right to modify these Terms at any time. We will provide notice of material changes via the Portal or email at least 14 days before the changes take effect. Your continued use of the Portal or services after that date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue use and contact us to terminate your engagement.
- Entire Agreement: These Terms, together with your engagement agreement and Privacy Policy, constitute the entire agreement between you and CNSVCS regarding the subject matter herein
- Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force
- Waiver: Failure by CNSVCS to enforce any provision shall not be deemed a waiver of future enforcement
- Assignment: You may not assign your rights or obligations under these Terms without CNSVCS's prior written consent
- Force Majeure: CNSVCS shall not be liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, government actions, or third-party infrastructure failures
